As a general practice, fees are nonrefundable, and we normally do not issue refunds or credits. Please note that certain subscription fees may involve minimum commitments. In such cases, we are unable to cancel your subscription until you've met the specified minimum commitment. If you opt to pass through any subscription fees to your customers, you are not permitted to mark up these fees.
1. Fees. Your use of the Platform is contingent upon the timely payment of all Fees. Fees may undergo occasional changes. All Fees are exclusive of Communication Surcharges. You are responsible for covering all Communications Surcharges related to your Platform usage. Communications Surcharges will appear as a separate line item on your invoice. All Fees and Communications Surcharges are generally nonrefundable. Fees for subscriptions will be billed in advance of Services. You are required to provide us with accurate and up-to-date billing information (including name, address, credit card details, and phone number) and inform us of any changes within 10 days of such changes.
2. Non-cancellable Fees. Some subscriptions for Services may require a non-cancellable minimum subscription commitment, which remains in force until the commitment has been fulfilled. Fees associated with these non-cancellable minimum subscription commitments will continue to be automatically applied to your bill until the minimum commitment is met.
3. No Mark Ups. You are not allowed to increase or mark up any OTTO Fees that you pass on to your customers or third parties. You bear sole responsibility for all pass-through Fees and related expenses, including but not limited to refunds and chargebacks of these pass-through Fees.
OTTO is not responsible for mediating issues or disputes between you and your customers concerning pass-through Fees.
You are accountable for any taxes related to the platform and transactions conducted with your customers. You may be required to indemnify OTTO in the event of tax issues related to your platform usage.
We may terminate your account if we are unable to collect payment from you.

4. Taxes. You are exclusively responsible for taxes and other government assessments ("Taxes") associated with your use of the Platform, including all Taxes related to transactions you engage in with your customers. OTTO may collect Taxes from you as legally required or as deemed appropriate by OTTO, and all determinations related to which Taxes to collect are considered final. OTTO reserves the right to recalculate and collect additional Taxes if deemed necessary at any point. Claims related to Taxes associated with your activities on the Platform, including any Taxes linked to transactions with your customers, are nonrefundable.
5. Overdue Amounts. If, for any reason, your credit card company declines or refuses to pay for the Services you've purchased, you agree to allow us to suspend or terminate your use of the Platform and/or the delivery of Services. In such cases, you may be required to cover any overdue Fees and other amounts incurred (including any third-party chargeback fees or penalties) through acceptable means. If legal action becomes necessary to collect overdue balances, you are responsible for reimbursing us for all expenses incurred, including attorney fees and other legal expenses.
6. Payment Disputes. In the event of any invoiced Fees or charges that you wish to dispute, you must notify us in writing within sixty (60) days from the billing date. You must pay all invoiced Fees and charges during the dispute's pendency, or you forfeit your right to pursue the dispute. When disputing any Fees or charges, you must act reasonably and in good faith and cooperate diligently with us to resolve the dispute. All determinations regarding your obligation to pay invoiced Fees and charges are considered final.
7. No Refunds or Credits. With the exception of circumstances outlined below, fees assessed by OTTO are non-refundable. Any excess Fees resulting from errors or omissions made by you or a third party are solely your responsibility. OTTO does not typically offer Fee refunds or credits for such errors or omissions, or for partially used or unused Platform or Services subscriptions. If you subscribe but do not access the Service or Platform, you remain responsible for all Fees for the subscription's duration. Unless legally mandated, OTTO reserves the right to issue or deny a refund or credit, at its sole discretion, at any time and for any reason. The determination of whether to issue or deny a refund or credit rests with OTTO and is considered final.
8. Cancellations. You are responsible for the proper cancellation of Services linked to your account, and you will be accountable for all Fees incurred until such cancellation is completed. No refunds will be issued for the failure to appropriately cancel the Services associated with your account. 9. Your Responsibility For Financial Transactions. You bear sole responsibility for all financial transactions conducted by you and your customers on the Platform or through the Services, including transactions facilitated by billing tools enabled by the Services. Regardless of the reason for chargebacks, you are exclusively responsible for all chargebacks associated with your activities and those of your customers.
